Terms of Use of Website of Druker & Co. Law Offices and Notaries

1.General

1.1 The terms outlined herein (hereinafter, the “Terms”) constitutes an exhaustive agreement between the Firm Druker & Co. Law Offices and Notaries (hereinafter, the “Firm”) and any entity who has access to and/or uses (hereinafter, the “User”) of the website owned by the Firm at www.drukerlaw.co.il (hereinafter, the “Website”).

1.2 Any use of the Website is subject to the Website’s Privacy Policy and the Terms (hereinafter, collectively, the “Terms of Use”).

1.3 Use and/or access by the User constitutes the User’s confirmation that he has carefully read the Terms of Use and has absolutely understood them without qualification or reservation, and that they are acceptable thereto. To the extent that the User disagrees with any term of the Terms of Use, then he must refrain from using and/or accessing the Website entirely.

1.4 Use of words and or defined terms in singular/masculine gender is for convenience purposes only and shall be interpreted and construed as including plural/feminine gender and vice versa, as the case may be.

1.5 The Website is intended for solely use by a User who is an adult (over 18 years of age).

1.6 The Firm reserves the right to change, amend or update the Terms of Use at any time without prior notice, in which case the Firm will publish a notification on the Website’s homepage, after such changes to the Terms of Use, to inform the User, and to the extent necessary, to obtain the User’s consent anew. Where no consent is required, as stated above, continued use of the Website constitutes consent and an agreement to be bound by said changes.

1.7 The Firm reserves the right to change the Website, add or remove content and suspend or cease the Website’s activity at any time whatsoever, without the need to provide prior notification. 

2.No Client-Attorney Relationship and No Legal Advice When Using the Website

2.1 Nothing in the use of the Website and/or receiving the information contained therein serves to create an attorney-client relationship and the Website and/or any content presented and included therein, may not be viewed as an offer or invitation by the Firm and anyone on its behalf to provide any service whatsoever.

2.2 The Website, information, materials, and opinions included on the Website constitute general information only about the Firm and are not intended to serve as legal or other professional advice, and they may not be relied upon or treated as a substitute for legal advice. No action may be performed based on the information on the Website without obtaining legal advice from the Firm.

3.Use Restrictions and Prohibitions

Use of the Website is solely in accordance with the Terms of Use. Without derogating from the aforesaid, any User is prohibited, and shall not permit any third party, to carry out any of the following:

3.1 Use the Website and/or its content for any illegal, immoral, unlawful and/or unauthorized purposes.

3.2 Use the Website and/or its content for non-personal or commercial purposes without the explicit consent of the Firm, in writing and in advance.

3.3 Impersonate another person or misleadingly represent himself in any way whatsoever.

3.4 Bypass, cause a disfunction or cessation or otherwise disrupt any of the measures pertaining to the Website’s security and/or that prevent or restrict use or the copying of any content.

3.5 Use of any robot, spider, crawler, any search, or retrieval application, or use other manual or automatic device, process, or method to access the Website and retrieve, index and/or data-mine information.

3.6 Remove or disassociate from the content and/or the Website any restrictions and signs indicating proprietary rights of the Firm or its licensors, including but not limited to any proprietary notices contained in such materials such as ©, ™, or ®.

3.7 Interfere with or violate Users’ rights to privacy and other rights.

3.8 Interfere with or disrupt the operation of the Website or the servers or networks that host the Website.

3.9 Violate any laws in connection with the use of the Website.

3.10 Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our Website’s platform infrastructure, as determined by us.

3.11 Bypass the measures implemented by the Firm to prevent or restrict access to the Website.

3.12 Copy, modify, alter, adapt, make available, translate, port, reverse engineer, decompile, convert binary code into open source code or disassemble any portion of the content made accessible by us on or through the Website, or publicly display, reproduce, create derivative works from, perform, distribute, sublicense, make any commercial use, sell, lease, transfer, lend, process, collect, embed with any other software – of any material that is subject to the Firm’s proprietary rights, including the Firm’s intellectual property, in any way or by any means.

3.13 Sell, license, or exploit for any commercial purposes any use of or access to the Website and/or the content therein.

3.14 Use the contact information on the Website for unauthorized purposes, including for marketing purposes.

3.15 Transmit, share, enclose or provide the Firm and/or the Website any information, data, content or attached files containing information or data which is illegal, harmful, defamatory, threatening, vulgar, discriminatory, pornographic, racist, or any content that violates the privacy or intellectual property rights of third parties, when sending messages via any online forms and/or via any contact details available on the Website, when directly communicating or corresponding with employees or representatives of the Firm.

3.16 Violate the Terms of Use and any part thereof.

4.Intellectual Property

4.1 In the relationship between the User and the Firm, the Firm is the owner of all intellectual property on this Website and all the content on the Website (including all the information and documents published and made available on the Website), including amongst others, icons, graphics, design, verbal representation, trademarks, logos, as well as the editing and presentation of the above.

4.2 The User may not copy, in whole or in part, nor transmit through electronic means or otherwise and/or change or use for any purpose whatsoever, the content of the Website without obtaining the prior written consent of the Firm.

4.3 The User may not change and/remove from the Website or the content published thereon any notifications of copyrights, intellectual property rights, trademarks, legal notices, and any other information, including identifying information from documents downloaded from the Website.

4.4 Nothing on the Website and/or Terms of Use, explicitly or impliedly, serves as the grant of a license or right to use the Firm’s and/or any third party’s intellectual property.

5.No Warranties

5.1 The information published on the Website is general information provided ‘AS IS’ and for non-commercial use, with no liability or undertaking whatsoever, including but not limited for suitability to any purpose, including the User’s purposes.

5.2 The Firm invests efforts to include accurate and up-to-date content on the Website. However, the Firm cannot guarantee that the information published on the Website is accurate, complete, or suitable for any purpose whatsoever. The Firm shall not be liable to any extent whatsoever, in relation to the accuracy, completeness, correctness, or credibility of the information included on the Website nor that the information reflects up-to-date legal developments, precedents or legislation.

5.3 The User hereby agrees that by using and/or accessing the Website, it undertakes the entire risk arising therefrom, to the maximum extent permitted by law.

5.4 The Firm invests efforts to ensure the maintenance and availability of the Website, its content, and services, however, use of the Website may be disrupted, ceased, suspended, or delayed, temporarily or permanently.

5.5 The Firm, including its partners, associates, employees, representatives and more, shall not be liable in any way whatsoever for any direct and/or indirect and/or consequential damage due to loss of profits, loss of data or otherwise, caused to the User from use of the Website and/or in connection with the use of the Website and/or due to the inability to use the Website and/or arising from use of the Website, the content included on the Website and/or due to the User being exposed to computer viruses or other malicious software. The User’s exclusive and only remedy in such instance is to leave the Website.

6.Links to Third Parties’ Websites

6.1 The Website may offer links, hyperlinks or banners to other websites that are not operated or monitored by the Firm, nor does the Firm check their credibility, legality, security, or privacy policies. Therefore, the Firm shall have no liability whatsoever and is entirely exempt from any responsibility or liability in connection with any damage, loss or expense, of any kind whatsoever, whether direct or indirect and/or circumstantial and/or consequential, which were and/or may be caused to the User and/or any third party, due to the use of a website and/or internet pages as aforesaid and/or the content published thereon. Without derogating from the aforesaid, the User undertakes to comply with the instructions, terms, and conditions of said websites and/or internet pages and abide by their terms.

6.2 Without derogating from the aforementioned in section 6.1 above, the User acknowledges that the information, pictures, images, and other content linked to the website of third parties as set forth in section 6.1 above, belongs exclusively to said third party and/or to the licensors of said third party.

7.Processing of Personal Information

7.1 When using the Website, personal information about the User will be collected and kept in accordance with the provisions of the Protection of Privacy Law and other relevant privacy laws, all, in accordance with the Website’s privacy and data security policy.

7.2 The User understands and agrees that the Firm will collect certain data from the User when browsing or using the Website, including information that can personally identify the User.

8.Sending Newsletters

8.1 The Firm offers the User the option to receive newsletters, marketing notifications, invitations to conferences and events, updates, including professional, marketing and the like updates (hereinafter, the “Newsletter”).

8.2 Signing-up for the Newsletter shall be made by the User by inputting the required information on the Website or another sign-up form. The User confirms that the information he provides as set forth above, is correct and his own personal information only. Furthermore, by filling said information, the User agrees to receive the Newsletter by electronic means, including via facsimile, email, SMS, MMS, telephone and the like.

8.3 The Firm may contact any User that has signed-up to a Newsletter as set forth in section 8.2 above via electronic means, including via facsimile, email, SMS, MMS, telephone and the like.

9.Violation of Terms of Use and Indemnification

The User undertakes to indemnify and compensate the Firm and anyone on its behalf, including its partners, associates, employees, representatives and the like, for any damage, loss, loss of profits, claim, payment, or expense, including attorney’s fees, caused to the Firm in connection with a violation of the Terms of Use.

10.Miscellaneous

10.1 If any provision hereof is adjudged by any court of competent jurisdiction to be unlawful and/or unenforceable, despite the parties' intention, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect while most nearly adhering to the intent expressed herein, and the cancellation and/or invalidity of such provision shall not derogate from the other Terms of Use which shall remain in full force and effect.

10.2 Nothing in the Terms of Use shall derogate from any right vested with the Firm and/or anyone on its behalf under any law.

10.3 The User may not assign and/or delegate his rights and/or undertakings under these Terms of Use.

11.Governing Law and Jurisdiction

The conditions and provisions of these Terms of Use, and any change or amendment thereto, as well as the use of the Website, shall be governed by and subject to the laws of the State of Israel without reference to its conflict-of-laws principles. The courts of Tel Aviv-Jaffa shall have exclusive jurisdiction over any dispute and/or claim arising in connection with the use of or related to the Website and/or these Terms of Use.
